Terms of Service

1. Acceptance of Terms

By accessing or using Blindspot (the 'Service'), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not use the Service.

You represent that you are at least 18 years of age. By using the Service you affirm that you meet this age requirement.

2. Description of Service

Blindspot is a portfolio risk analytics platform. The Service provides:

• Hidden Concentration Score — a proprietary metric quantifying undisclosed risk concentrations across a portfolio
• Factor analysis — exposure attribution across market, sector, geographic, and style factors
• Stress testing and scenario simulation — modeling portfolio behavior under historical and hypothetical market events
• PDF report generation — exportable analytical summaries

Blindspot serves two user audiences: individual investors (Free and Pro tiers) and registered investment advisers (RIAs) and institutional firms (Institutional tier).

Blindspot does not provide investment advice, investment recommendations, or trade execution. See Section 7 for the full disclaimer.

3. Eligibility

To use the Service you must:

• Be at least 18 years of age
• Be legally capable of forming a binding contract under the laws of your jurisdiction
• Not be prohibited from using financial analytics services under any applicable law, regulation, or court order

If you are accessing the Service on behalf of a firm or organization, you represent that you have authority to bind that entity to these Terms.

4. User Accounts

When you register for an account, you must provide accurate and complete information and keep that information current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at hello@blindspot.fyi if you become aware of any unauthorized access to or use of your account. We will not be liable for losses arising from unauthorized use of your account credentials.

One account per person. You may not share your account with others or create accounts on behalf of individuals who have not agreed to these Terms. We may suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Billing

Blindspot offers three subscription tiers:

• Free — no charge; access to core analytics features with usage limits
• Pro — $49.00 per month or $411.60 per year (billed via Stripe); full analytics access for individual investors
• Institutional — contact hello@blindspot.fyi for pricing; designed for RIAs and institutional firms

Pro subscriptions renew automatically at the end of each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period and no pro-rated refund is issued for the remaining portion of that period.

Payments are processed by Stripe, Inc. Blindspot never receives, stores, or processes your card number, expiration date, or CVC — those are entered directly into Stripe's hosted interface. We receive only your subscription status and a Stripe customer identifier.

Prices may change. We will provide at least 30 days' advance notice of any price change, after which your continued use of the paid Service constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to:

• Scrape, crawl, or systematically extract data from the platform through automated means
• Reverse-engineer, decompile, or attempt to derive the source code or scoring methodology of the Service
• Use the Service or its analytical output to build a competing product or service
• Share, sublicense, or resell access to your account
• Attempt to circumvent tier restrictions or access features beyond your subscription level
• Upload or transmit malicious code, viruses, or any content that interferes with the Service
• Use the Service in any manner that violates applicable law

Commercial use — including providing analytics to clients — requires the Institutional tier. The individual Pro tier is for personal investment analysis only.

7. Not Investment Advice

BLINDSPOT IS AN ANALYTICAL TOOL. NOTHING ON THIS PLATFORM CONSTITUTES INVESTMENT ADVICE.

• No content, score, report, or analysis produced by Blindspot is a recommendation to buy, sell, or hold any security or financial instrument.
• No content on the platform is a solicitation of any investment or an offer to provide investment advisory services.
• Scores and analyses are informational only. They reflect historical data and modeled scenarios — they do not predict future portfolio performance or market conditions.
• Past portfolio risk patterns are not indicative of future results.
• Blindspot is not a registered investment adviser, broker-dealer, financial planner, or fiduciary.

You should consult a qualified financial adviser before making any investment decision. Blindspot's output is one input among many — it is not a substitute for professional advice tailored to your financial situation.

8. Brokerage Connectivity (SnapTrade and Plaid)

Blindspot offers optional brokerage connectivity through third-party providers SnapTrade (Passiv Inc.) and Plaid, Inc. When you connect a brokerage account, you authorize read-only access to your investment holdings for analytical purposes.

Key facts about brokerage connectivity:

• You enter your brokerage credentials directly into the third-party provider's interface (SnapTrade's Connection Portal or Plaid Link). You never enter brokerage credentials on any Blindspot screen.
• Blindspot cannot and does not execute trades, place orders, move funds, or access bank accounts. Our access scope is read-only investment holdings.
• The encrypted access token issued by the provider is stored by Blindspot solely to retrieve your holdings for analysis. It is encrypted at rest using AES-256-GCM.
• You can disconnect your brokerage at any time from the Analyze page. Disconnecting immediately revokes our access token and severs the connection.

9. Intellectual Property

Blindspot owns all rights in the platform, the Hidden Concentration Score methodology, the software, and all analytical output generated by the Service. These are protected by copyright, trade secret, and other applicable intellectual property laws.

You own your portfolio data — the tickers, weights, and account information you provide. You grant Blindspot a limited, non-exclusive license to process your portfolio data solely to deliver the Service to you.

You may not reproduce, distribute, publicly display, or create derivative works from the platform, its scoring output, or any analytical content without prior written permission from Blindspot.

10. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLINDSPOT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• We do not warrant that market data sourced from third-party providers (including Yahoo Finance, SnapTrade, or Plaid) is accurate, complete, or current.
• We do not warrant that the Hidden Concentration Score or any other analytical output is free from error or will meet your requirements.
• We do not warrant that the Service will be uninterrupted, timely, or secure, or that defects will be corrected.
• Third-party data providers may experience outages, errors, or data delays that are outside our control and for which we bear no responsibility.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLINDSPOT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO BLINDSPOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL BLINDSPOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING INVESTMENT LOSSES, LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF BLINDSPOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

Some jurisdictions do not allow exclusion or limitation of certain types of damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Blindspot and its team members from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party intellectual property, privacy, or other rights

13. Termination

Either party may terminate the relationship under these Terms at any time. You may close your account by contacting us at hello@blindspot.fyi. We may suspend or terminate your access to the Service immediately, with or without notice, if you violate these Terms or if we are required to do so by law.

On termination, your right to use the Service ceases immediately. The following sections survive termination: Intellectual Property (§9), Disclaimers of Warranty (§10), Limitation of Liability (§11), Indemnification (§12), and Governing Law and Disputes (§14).

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New York, New York. You irrevocably consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum.

15. Changes to These Terms

We may update these Terms at any time. Updated Terms will be posted at this URL with a revised 'Last updated' date. Changes are effective upon posting.

For material changes, we will provide at least 14 days' advance notice by email to your registered address or through an in-app notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
